These Terms of Service ("Terms") govern your access to and use of the BakkMe mobile application, website, and all related services, features, content, and functionality (collectively, the "Service" or "Platform") provided by BakkMe ("BakkMe," "we," "us," or "our").
By creating an account, downloading our application, or accessing or using any part of the Service, you ("you" or "User") agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" will refer to both you individually and the organization.
We may provide additional terms or policies that supplement these Terms for specific features of the Service, including but not limited to fundraising campaigns, payment processing, live streaming, and creator monetization. Such supplemental terms are incorporated by reference into these Terms. In the event of a conflict between these Terms and any supplemental terms, the supplemental terms shall control with respect to the applicable feature.
Your continued use of the Service after any modifications to these Terms constitutes your acceptance of the modified Terms. If you do not agree to any changes, you must discontinue use of the Service immediately.
You must be at least thirteen (13) years of age to create an account and use the Service. If you are under the age of majority in your jurisdiction (typically 18 years of age), you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. We reserve the right to request proof of age or parental consent at any time and to terminate accounts where eligibility requirements are not met.

Certain features of the Service, including payment processing and fundraising, may not be available in all geographic regions. Availability of financial features is subject to regulatory requirements, the capabilities of our payment processing partners, and applicable sanctions or trade restrictions. We reserve the right to restrict, limit, or deny access to any feature based on your geographic location.
To access most features of the Service, you must create an account. When registering, you agree to provide accurate, current, and complete information, and to update such information to keep it accurate, current, and complete. You may not use false or misleading information when creating your account, including impersonating another person or entity.
You are responsible for maintaining the confidentiality of your account credentials, including your password and any authentication tokens. You agree to:
BakkMe shall not be liable for any loss or damage arising from your failure to secure your account credentials.
Certain features of the Service may require identity verification, including "Know Your Customer" (KYC) procedures. This may include providing government-issued identification, proof of address, or other documentation as required by applicable law or our payment processing partners. You agree to cooperate with all verification requests and acknowledge that failure to complete verification may result in restricted access to certain features, including but not limited to financial transactions, fundraising, and payouts.
Each individual may maintain only one (1) active account on the Service. Creating multiple accounts may result in the suspension or termination of all associated accounts. Exceptions may be granted for verified business or organizational accounts, at our sole discretion.
Your account is personal to you and may not be sold, transferred, licensed, or assigned to any third party without our prior written consent. Any attempted transfer in violation of this provision shall be null and void.
You retain all ownership rights in the content you create, upload, post, or otherwise make available through the Service ("User Content"), subject to the license granted below. BakkMe does not claim ownership of your User Content.
By posting, uploading, or otherwise making User Content available on or through the Service, you grant BakkMe a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, perform, and otherwise exploit your User Content in connection with operating, providing, promoting, and improving the Service, and in connection with developing new services. This license includes the right to make your User Content available to other users of the Service and to third parties in connection with the ordinary operation of the Service (e.g., sharing, embedding, deep linking).
The license granted above will persist for as long as your User Content remains on the Service. When you delete User Content, the license terminates, except that: (a) copies of your User Content may remain in our backup systems for a reasonable period; (b) content that has been shared, reposted, or otherwise distributed by other users may continue to appear on the Service; and (c) we may retain User Content as necessary to comply with legal obligations, resolve disputes, or enforce our agreements.

If you provide BakkMe with any feedback, suggestions, or ideas regarding the Service ("Feedback"), you hereby assign to BakkMe all rights in such Feedback and agree that BakkMe may use, reproduce, modify, and distribute such Feedback without restriction and without any obligation or compensation to you.
BakkMe allows eligible users (age 18+) to create fundraising campaigns to raise money for personal causes, charitable purposes, community projects, or other lawful objectives. By creating a campaign, you represent and warrant that:

BakkMe serves as a technology platform that facilitates connections between campaign organizers and donors. BakkMe is not a party to the relationship between organizers and donors and does not guarantee, endorse, or verify the legitimacy of any campaign. We reserve the right to review, suspend, or remove campaigns that violate these Terms, appear fraudulent, or are otherwise objectionable.
You may not use the fundraising features to:
Payment processing on the Service is provided by Stripe, Inc. and its affiliates ("Stripe") and potentially other third-party payment processors. By using payment features, you agree to be bound by Stripe's Services Agreement and Privacy Policy, as applicable, in addition to these Terms. BakkMe is not a bank, financial institution, or money transmitter and does not itself process payments.
BakkMe does not hold, store, or custody user funds at any time. BakkMe does not operate a digital wallet, maintain user balances, or act as a money transmitter. All financial transactions on the platform are processed directly by our third-party payment processor, Stripe. When a donation or contribution is made:
All payments made through the Service, including donations to fundraising campaigns and creator tips, flow directly from the payer to the recipient through Stripe's payment infrastructure. BakkMe facilitates the technology connection between donors and beneficiaries but does not intermediate, hold, or process funds. Campaign organizers and creators must set up and maintain their own Stripe connected accounts to receive funds. You acknowledge that the speed and availability of fund transfers are subject to Stripe's processing timelines and policies.

You are solely responsible for determining and fulfilling your tax obligations arising from your use of the Service, including income taxes, sales taxes, VAT, and any other taxes or reporting requirements. BakkMe may be required to report certain transactions to tax authorities and may issue tax forms (such as IRS 1099 forms in the United States) where required by law. BakkMe does not provide tax advice.
We employ fraud detection and prevention measures to protect the integrity of our payment systems. We reserve the right to delay, freeze, or reverse any transaction that we reasonably believe is fraudulent, unauthorized, or in violation of these Terms. We may also suspend or restrict your access to payment features pending investigation.
The Service includes live streaming capabilities that allow users to broadcast video and audio content to other users in real time. By using live streaming, you agree that:

Live streaming and video features require compatible devices, adequate internet connectivity, and compatible software. BakkMe is not responsible for any inability to access these features due to device limitations, software incompatibilities, or insufficient network connectivity.
Users may create or join groups and communities on the Service. Groups may be public (open to all users) or private (requiring approval to join). By creating a group, you become the group administrator and assume responsibility for managing group membership and ensuring that group activity complies with these Terms.

All content posted within groups is subject to these Terms. BakkMe reserves the right to review, moderate, remove, or restrict any group content, and to suspend or dissolve any group that violates these Terms or poses a risk to user safety.
While private groups limit visibility of content to approved members, BakkMe retains the ability to access and review group content for safety, legal compliance, and enforcement purposes. Group administrators and members should not have an expectation of absolute privacy within groups on the Service.
The Service provides messaging features including text messages, media sharing (images, videos, audio), voice messages, and other forms of direct and group communication. All messages and communications sent through the Service are subject to these Terms.
All chat conversations on the Service are protected with secure end-to-end encryption. This means that message content is encrypted on the sender's device and can only be decrypted by the intended recipient(s). BakkMe's backend servers cannot read, access, or decrypt the content of your messages. Even BakkMe employees and administrators have no ability to view your message content. End-to-end encryption applies to text messages, media files, voice messages, and other content shared through the messaging features. Please note that while message content is encrypted, metadata such as sender, recipient, timestamps, and message delivery status may be processed by our servers to facilitate message delivery and service functionality.
When using messaging features, you agree not to:
Messages may be stored on our servers to ensure delivery, enable synchronization across devices, and comply with legal obligations. We may retain messages for a reasonable period after deletion by a user to support backup, recovery, and compliance operations. Please refer to our Privacy Policy for details on data retention.
You may report messages that violate these Terms and block other users to prevent them from contacting you. We take reports seriously and will investigate reported content, but we cannot guarantee action on every report. We encourage users to report any content or behavior that makes them feel unsafe.
BakkMe may offer creator monetization features that allow eligible users to earn revenue through the Service. To participate in creator monetization, you must:

Creator earnings are subject to applicable platform fees, payment processing fees, and applicable taxes. Payout schedules, minimum payout thresholds, and supported payout methods will be communicated within the Service. BakkMe reserves the right to withhold or delay payouts pending review for fraud, Terms violations, or chargebacks.
Creators participating in monetization programs are responsible for:
BakkMe reserves the right to modify, suspend, or terminate creator monetization features or any individual creator's participation in such programs at any time, with or without cause, upon reasonable notice. Earned but unpaid balances at the time of termination will be paid out in accordance with the applicable payout schedule, provided the creator's account is in good standing and no holds or pending investigations exist.
You agree not to engage in any of the following prohibited activities when using the Service. Violation of this section may result in immediate suspension or termination of your account and, where appropriate, referral to law enforcement.
BakkMe reserves the right, but has no obligation, to monitor, review, screen, edit, remove, or disable access to any User Content at any time and for any reason, including but not limited to enforcing these Terms or complying with applicable law. We may use automated systems, human moderators, or a combination of both to review content.
If we determine that you have violated these Terms, we may take one or more of the following actions, at our sole discretion:
If you believe an enforcement action was taken in error, you may submit an appeal by contacting us at support@bakkme.com within thirty (30) days of the action. Appeals will be reviewed by a member of our team who was not involved in the original decision, where practicable. We will endeavor to respond to appeals within a reasonable timeframe, but we reserve the right to make final decisions regarding enforcement at our sole discretion.
We encourage users to report content or behavior that violates these Terms using the in-app reporting features or by contacting safety@bakkme.com. All reports are reviewed and handled in accordance with our internal policies. We may not be able to disclose the outcome of a report to the reporting party due to privacy considerations.
BakkMe will cooperate with law enforcement agencies, government authorities, and court orders where required by law or where we believe in good faith that cooperation is necessary to prevent harm, protect our rights, or comply with legal obligations. This may include disclosing User Content, account information, and usage data.
Your privacy is important to us. Our collection, use, storage, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. If you downloaded the BakkMe app from the Apple App Store or Google Play Store, your use of the app is also subject to the terms and conditions of the respective app store. In the event of any conflict between these Terms and the applicable app store terms, the more restrictive terms shall apply with respect to the app store's role.
The Service, including its original content (excluding User Content), features, functionality, design, graphics, logos, trademarks, service marks, trade names, and the underlying software and technology, are and shall remain the exclusive property of BakkMe and its licensors. The Service is protected by copyright, trademark, patent, trade secret, and other intellectual property and proprietary rights laws.
Subject to your compliance with these Terms, BakkMe grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service on your personal device(s) for your personal, non-commercial purposes. This license does not include the right to:

IN NO EVENT SHALL BAKKME'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE GREATER OF: (A) ONE HUNDRED UNITED STATES DOLLARS (USD $100.00); OR (B) THE TOTAL AMOUNT YOU HAVE PAID TO BAKKME IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
THE FOREGOING LIMITATIONS APPLY WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF BAKKME HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. TO THE EXTENT THAT SUCH LIMITATIONS ARE PROHIBITED BY APPLICABLE LAW, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
You agree to indemnify, defend, and hold harmless BakkMe and its officers, directors, employees, agents, affiliates, successors, and assigns (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:
BakkMe reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You shall not settle any claim without BakkMe's prior written consent.
This section contains an agreement to arbitrate disputes and a waiver of your right to a jury trial and to participate in class actions. Please read it carefully.
Before initiating any formal dispute resolution proceeding, you and BakkMe agree to attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") informally. You may initiate informal resolution by sending a detailed written description of the Dispute to support@bakkme.com. Both parties agree to negotiate in good faith for at least sixty (60) days from the date the informal dispute notice is received. If the Dispute is not resolved within this period, either party may proceed to binding arbitration as described below.
If a Dispute is not resolved through informal resolution, you and BakkMe agree that the Dispute shall be resolved exclusively through final and binding individual arbitration, rather than in court. Arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, which are available at www.adr.org or by calling 1-800-778-7879.
The arbitration shall be conducted by a single arbitrator. The arbitrator shall have the authority to award any relief that would be available in court, including injunctive and declaratory relief, but only to the extent necessary to provide relief warranted by the individual claim. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
YOU AND BAKKME AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Unless both you and BakkMe agree in writing, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of class, consolidated, or representative proceeding.
TO THE EXTENT PERMITTED BY LAW, YOU AND BAKKME WAIVE ANY RIGHT TO A JURY TRIAL IN CONNECTION WITH ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.
Notwithstanding the foregoing, either party may bring an individual action in small claims court for Disputes within the jurisdiction of such court. Additionally, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidentiality obligations.
You have the right to opt out of this arbitration agreement by sending written notice of your decision to opt out to support@bakkme.com within thirty (30) days of first accepting these Terms. Your notice must include your name, account username, email address associated with your account, and a clear statement that you wish to opt out of the arbitration agreement. If you opt out of this arbitration agreement, all other provisions of these Terms shall continue to apply.
This arbitration agreement shall survive the termination of your account and these Terms.
These Terms and any Dispute arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles.
To the extent that litigation is permitted under these Terms (including actions not subject to arbitration), you and BakkMe consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of Delaware. You waive any objections based on lack of personal jurisdiction, place of residence, improper venue, or forum non conveniens in any such action.
If you are a consumer located in the European Economic Area (EEA), United Kingdom, or any other jurisdiction with mandatory consumer protection laws, nothing in this section shall deprive you of the protection afforded by the mandatory provisions of the consumer protection laws of your country of residence.
BakkMe reserves the right to modify, amend, or update these Terms at any time, at our sole discretion. When we make material changes, we will:

You may terminate your account and stop using the Service at any time by deleting your account through the in-app settings or by contacting us at support@bakkme.com. Upon termination:

We will endeavor to provide notice of termination when practicable, but we reserve the right to terminate accounts immediately and without notice where we determine, in our sole discretion, that immediate action is necessary to protect the safety of users, the integrity of the Service, or compliance with applicable law.
Upon termination, the following provisions of these Terms shall survive and remain in full force and effect: Sections 4 (User Content and Intellectual Property), 7.7 (Tax Obligations), 12 (Prohibited Activities), 16 (Intellectual Property Rights), 17 (Disclaimer of Warranties), 18 (Limitation of Liability), 19 (Indemnification), 20 (Dispute Resolution and Arbitration), 21 (Governing Law), and 24 (Miscellaneous), as well as any other provisions that by their nature should survive termination.
These Terms, together with the Privacy Policy and any supplemental terms or policies referenced herein, constitute the entire agreement between you and BakkMe regarding the Service and supersede all prior and contemporaneous agreements, proposals, and communications, whether oral or written, between you and BakkMe regarding the Service.
If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of the remaining provisions. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving the parties' original intent.
The failure of BakkMe to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms shall be effective only if in writing and signed by an authorized representative of BakkMe. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
You may not assign or transfer these Terms or any of your rights or obligations hereunder without BakkMe's prior written consent. BakkMe may freely assign these Terms and its rights and obligations hereunder, in whole or in part, without your consent, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets. Subject to the foregoing, these Terms shall be binding upon and inure to the benefit of the parties and their respective successors and assigns.
These Terms are intended for the benefit of you and BakkMe only. Nothing in these Terms is intended to or shall confer any rights or remedies upon any person or entity other than you and BakkMe, except that the Indemnified Parties identified in Section 19 are intended third-party beneficiaries of the indemnification provisions.
BakkMe shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay results from circumstances beyond BakkMe's reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, war, terrorism, riots, civil unrest, government actions, embargoes, sanctions, labor disputes, failures of third-party services (including internet service providers and cloud hosting providers), power outages, or cyberattacks.
The section headings in these Terms are for convenience only and shall not affect the interpretation of any provision.
Nothing in these Terms shall be construed to create a partnership, joint venture, employment, agency, or franchise relationship between you and BakkMe. You are an independent user of the Service, and neither party has the authority to bind or obligate the other.
By using the Service, you consent to receiving electronic communications from BakkMe, including through the app, email, push notifications, or other electronic means. You agree that all agreements, notices, disclosures, and other communications provided to you electronically satisfy any legal requirement that such communications be in writing.
If you are a California resident, under California Civil Code Section 1789.3, you are entitled to the following consumer rights notice: The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (916) 445-1254 or (800) 952-5210.
If you access the Service through the Apple App Store, you acknowledge and agree that: (a) these Terms are between you and BakkMe only, and not with Apple, Inc. ("Apple"); (b) Apple has no obligation to provide maintenance or support for the app; (c) in the event of any failure of the app to conform to applicable warranties, you may notify Apple for a refund of the purchase price (if any), and Apple shall have no other warranty obligation; (d) Apple is not responsible for addressing any claims by you or third parties relating to the app; and (e) Apple and its subsidiaries are third-party beneficiaries of these Terms with respect to the app, and Apple shall have the right to enforce these Terms against you. Similar provisions apply with respect to Google LLC and the Google Play Store, to the extent required by Google's developer terms.
